1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Purplebox Technologies Pvt. Ltd. ("Company", "Ambon", "we", "us", or "our"), a company incorporated under the laws of India.
By accessing, browsing, or using the Ambon platform, API, mobile applications, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity (Enterprise Use), you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept this agreement and may not use the Services.
2. The Services & AI Nature
Ambon provides AI-powered tools for prompt engineering, optimization, and deployment. You understand and agree that:
- Probabilistic Output: The Services use artificial intelligence and machine learning models that generate probabilistic outputs. We do not guarantee that the Outputs will be accurate, unique, or error-free.
- Beta Features: We may release features in "Beta" or "Preview" status. These features may not be as reliable as our core services and may be subject to change or removal without notice.
- Evolution: We are constantly improving our models. This means the same Input may produce different Outputs over time.
3. Content & Ownership
3.1 Your Content (Inputs)
You retain all rights, title, and interest in the text, files, and other data you upload or input into the Services ("Input"). You grant us a worldwide, non-exclusive, royalty-free license to use, host, store, and reproduce your Input solely for the purpose of providing and improving the Services, consistent with our Privacy Policy.
3.2 Generated Content (Outputs)
Subject to your compliance with these Terms, Ambon hereby assigns to you all its right, title, and interest in and to the output generated by the Services based on your Input ("Output"). You are free to use the Output for commercial or non-commercial purposes at your own risk.
3.3 Similarity
Due to the nature of machine learning, Output may not be unique across users. Other users may provide similar Inputs and receive the same or similar Output. The assignment above does not extend to other users' Output.
4. Acceptable Use Policy
You agree not to use the Services to generate content that violates any applicable law or infringes on the rights of others. Specifically, you agree NOT to use Ambon to:
- Generate hate speech, harassment, or sexually explicit content.
- Create spam, fraudulent, or deceptive content (e.g., phishing emails).
- Develop malware, viruses, or code designed to disrupt systems.
- Reverse engineer the Service or attempt to extract the underlying model weights or source code.
- Represent AI-generated Output as human-generated when it is not.
We reserve the right to suspend or terminate your access immediately if we detect usage violating these guidelines.
5. Fees and Payment
- Free Tier: We may offer limited access for free. We reserve the right to modify or terminate free access at any time.
- Paid Subscriptions: Enterprise and Pro plans are billed in advance. All fees are non-refundable except as required by law.
- Taxes: You are responsible for all applicable taxes, including GST (for Indian customers) or VAT/Sales Tax (for international customers).
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- AMBON AND PURPLEBOX TECHNOLOGIES PVT. LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.
- IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST SIX MONTHS.
- WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
7. Indemnification
You agree to defend, indemnify, and hold harmless Purplebox Technologies Pvt. Ltd., its officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.
8. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.
9. Modifications
We may revise these Terms from time to time. The most current version will always be posted on our website. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms.
